Terms of Use for Centru.ai

Welcome to Centru.ai, the comprehensive Trustworthy AI management platform ("Centru.ai") provided by Cloud Lighthouse Limited ("Cloud Lighthouse", "we", "us", or "our"). Centru.ai is designed to be a single pane of glass portal for organizations to manage their Trustworthy AI practices end-to-end. It enables:

Assessment and investment decisions, strategy development, architecture, and the creation of actionable roadmaps.

Development of safety, red teaming, and compliance tools to safely deploy AI workloads.

Access to a library of AI assets.

These Terms of Use ("Terms") govern the access to and use of Centru.ai by the subscriber ("Subscriber", "you", or "your") and its authorized users ("Users"). By subscribing to Centru.ai or by accessing or using Centru.ai, you agree to be bound by these Terms on behalf of yourself and your Users. If you do not agree to these Terms, you must not use Centru.ai.

1. Definitions

For the purposes of these Terms, the following definitions apply:

Centru.ai: The online platform provided by Cloud Lighthouse Limited for comprehensive management of Trustworthy AI practices, including but not limited to assessment and investment decisions, strategy development, architecture, actionable roadmaps, safety and compliance tools, and a library of AI assets.

Subscriber: The company or organization that has subscribed to Centru.ai.

User: Any individual authorized by the Subscriber to use Centru.ai.

Subscriber Data: Any data or information input by the Subscriber or its Users into Centru.ai.

2. Acceptance of Terms

By accessing or using Centru.ai, Subscriber agrees to be bound by these Terms. Subscriber is responsible for ensuring that its Users comply with these Terms. If Subscriber or any User does not agree to these Terms, they must not use Centru.ai.

3. User Accounts

Subscriber must create an account to use Centru.ai and is responsible for maintaining the confidentiality of its login credentials.

Subscriber shall ensure that its Users:

Provide accurate, current, and complete information when creating and maintaining their accounts.

Do not share their accounts with others.

Notify Cloud Lighthouse immediately of any unauthorized use of their accounts.

Subscriber is responsible for all activities that occur under its Users’ accounts.

4. Use of Centru.ai

Centru.ai is provided for the purpose of allowing Subscribers to manage their Trustworthy AI practices comprehensively. This includes, but is not limited to:

Conducting assessments and making investment decisions.

Developing strategies and designing architectures.

Creating actionable roadmaps.

Utilizing safety, red teaming, and compliance tools to deploy AI workloads safely.

Accessing the library of AI assets.

Subscriber shall not, and shall ensure that its Users do not:

Use Centru.ai for any unlawful or unauthorized purpose.

Attempt to gain unauthorized access to any part of Centru.ai or its related systems or networks.

Interfere with or disrupt the operation of Centru.ai.

Use Centru.ai to store or transmit malicious code, viruses, or other harmful content.

Reverse engineer, decompile, or disassemble any part of Centru.ai, except where permitted by applicable law.

Use Centru.ai in a way that could damage, disable, or impair Centru.ai or interfere with any other party’s use of Centru.ai.

5. Intellectual Property

Centru.ai and all content, features, and functionality (including but not limited to software, text, graphics, logos, user interfaces, and the library of AI assets) are owned by Cloud Lighthouse or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Subscriber is granted a limited, non-exclusive, non-transferable, revocable license to access and use Centru.ai for its internal business purposes, subject to these Terms. This license includes the right to use the assessment tools, strategy development features, architecture design capabilities, roadmap creation tools, safety and compliance tools, and the library of AI assets, solely for the Subscriber’s own Trustworthy AI management. All rights not expressly granted herein are reserved by Cloud Lighthouse.

Subscriber retains ownership of Subscriber Data. By inputting Subscriber Data into Centru.ai, Subscriber grants Cloud Lighthouse a worldwide, non-exclusive, royalty-free license to use, reproduce, and process Subscriber Data solely for the purpose of providing, operating, and improving Centru.ai.

6. Data Privacy and Security

Cloud Lighthouse is committed to protecting the privacy and security of Subscriber Data. Our practices regarding the collection, use, disclosure, and protection of personal data are described in our Privacy Policy, which is incorporated herein by reference. By using Centru.ai, Subscriber consents to the processing of personal data as set forth in the Privacy Policy.

Cloud Lighthouse implements reasonable technical and organizational measures to protect Subscriber Data from unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the Internet or electronic storage is completely secure, and Cloud Lighthouse cannot guarantee absolute security.

7. Compliance with Laws

Subscriber is responsible for ensuring that its use of Centru.ai complies with all applicable laws and regulations, including but not limited to data protection laws (e.g., GDPR, CCPA) and AI-related regulations in its jurisdiction.

8. Disclaimers

Centru.ai is provided "as is" and "as available" for informational and management purposes only and does not constitute legal, compliance, or professional advice.

The tools, assessments, strategies, architectures, roadmaps, safety and compliance features, and AI assets provided through Centru.ai are based on the information provided by Subscriber and do not guarantee compliance with any specific laws or regulations or the achievement of any particular outcomes.

Cloud Lighthouse disclaims any warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of Centru.ai or its components, including but not limited to the assessment tools, strategy development features, architecture design capabilities, roadmap creation tools, safety and compliance tools, and the library of AI assets.

Subscriber should consult with qualified professionals for advice tailored to its specific circumstances.

9. Limitation of Liability

To the maximum extent permitted by law, Cloud Lighthouse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses, resulting from:

Subscriber’s access to or use of, or inability to access or use, Centru.ai.

Any conduct or content of any third party on Centru.ai.

Unauthorized access, use, or alteration of Subscriber Data.

In no event shall Cloud Lighthouse’s aggregate liability arising out of or related to these Terms exceed the amounts paid by Subscriber to Cloud Lighthouse in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

Subscriber agrees to indemnify, defend, and hold harmless Cloud Lighthouse, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or relating to:

Subscriber’s or its Users’ use of Centru.ai.

Subscriber’s or its Users’ violation of these Terms.

Subscriber’s or its Users’ infringement of any intellectual property or other right of any person or entity.

11. Termination

Cloud Lighthouse reserves the right to suspend or terminate Subscriber’s access to Centru.ai at any time, with or without cause, and with or without notice, including for breach of these Terms.

Subscriber may terminate its subscription by providing written notice to Cloud Lighthouse.

Upon termination, Subscriber’s right to access and use Centru.ai will cease immediately, and Subscriber must cease all use of Centru.ai.

Provisions of these Terms that by their nature should survive termination (e.g., Intellectual Property, Limitation of Liability, Indemnification) shall survive.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under, which rules are deemed to be incorporated by reference into this clause. Assignment: Subscriber may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Cloud Lighthouse. Cloud Lighthouse may assign these Terms without restriction.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law.

No Waiver: The failure of Cloud Lighthouse to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing by Cloud Lighthouse.
